Terms of Service

1. The Service

Daichi Audit Tool ("the Service") is a SaaS subscription management platform operated by Daichi Procurement Solutions. The Service helps businesses inventory their software subscriptions, analyse usage, identify savings opportunities, detect duplicate or overlapping tools, track renewals, and forecast IT budgets.

2. Accounts

You must provide accurate information when creating an account and keep credentials confidential. You are responsible for all activity under your account.

4. Data ownership

All data you upload to the Service — including subscription records, vendor information, spend data, documents and user content — remains the exclusive property of your company ("Client Data"). We act as a processor for Client Data and use it only to provide the Service. You may export Client Data at any time via the in-app CSV export.

5. Savings estimates disclaimer

Savings opportunities, consolidation recommendations and forecasted spend amounts produced by the Service are estimates only, generated from the data you provide. They are not guarantees of actual savings. Actual savings depend on vendor negotiation, contract terms and execution by your team. Daichi is not liable for decisions taken solely on the basis of these estimates.

6. Service level agreement

We target 99.5% monthly uptime for the production Service, measured excluding scheduled maintenance windows (announced at least 48 hours in advance) and force-majeure events. If monthly uptime falls below 99.5%, you may request a pro-rata service credit equal to 10% of that month's fee.

8. Acceptable use

You agree not to misuse the Service, attempt unauthorised access, upload malicious content, or use the Service to violate any law.

9. Limitation of liability

To the maximum extent permitted by law, Daichi's aggregate liability under these Terms is limited to the fees paid by you in the 12 months preceding the claim.

10. Governing law

These Terms are governed by the laws of the Republic of Kenya. Any dispute will be resolved by the courts of Nairobi, Kenya.
